序 公司法的现代化不是一个时髦话语，而是社会实践中提出的课题。它既有着量和“时空”的意义，也有着丰富的质的内涵。它相对于传统的公司法，有着面对现在和未来的意义，包括公司法理念的创新和制度规则的现代化。简言之，公司法现代化应是适应现代市场经济发展和全球经济一体化需要，满足不断变化的现代公司社会关系调整需求的一种进程。因此，公司法的现代化是动态的，而且是不断向前发展的过程。
公司法的现代化是一个世界性的话题。在全球经济一体化大背景下，现代化应放在全球竞争的范围内考量，并且是各国相互借鉴、相互学习、相互提高的进程。为此，许多国家和地区都在采取切实措施，推动公司法的现代化，不仅进行公司法个别制度的完善，而且着力进行公司法结构性的改造。
转型中公司法的现代化无疑是整个公司法现代化的一部分，既应有一般公司法现代化的特征，也应有转型国家自己的特点。“转型”是一个有时代特色的概念，人们也将其称为经济转轨，而经济转轨是指由计划经济体制向市场经济体制的转变。对此问题的研究最早主要是由世界银行组织进行的，该组织专门出版了《转轨》刊物，登载关于转轨问题的最新研究成果。有的人认为，没有了高度集中的计划经济，就会建立起社会主义市场经济。其实，没有了高度集中的计划经济，还可能会有任意性的政府干预，因而建立完善的社会主义市场经济体制并不是一个短暂的过程。在转型时期，公司法不仅要适应市场经济，还应引导市场经济的完善，因而它的现代化不仅表现为适应性，还表现为引导功能。除此之外，还要面临全球竞争和经济进一步开放的问题。转型中的公司法的现代化就是要不断地解决这些问题。
清华大学商法研究中心于2004年9月25~26日在北京举办了“21世纪商法论坛”2004年国际学术会议，中心议题为《转型中的公司法的现代化》，着重讨论了三个问题：
（1） 外国公司法现代化的趋势；
（2）从比较法的角度看中国公司法；
（3）中国公司法具体制度的检讨与完善。
会上，英国、德国、美国、日本、韩国、印尼和中国大陆、香港特别行政区及台湾的专家、学者进行了认真的讨论，现将此次国际会议的实况及论文编辑出版，以供广大读者分享会议研讨的成果。
此次国际会议得到了华夏证券公司及其研究所的支持，本书的出版又得到了社会科学文献出版社的大力协助，谨在此表示谢意。
